Vendor Code of Conduct

This Vendor Code of Conduct establishes mandatory standards applicable to all third parties providing services, technology, infrastructure, consulting, or other support to CarePlanRx. Compliance with this Code is a material condition of engagement.

1. Legal Compliance

Vendors must comply with all applicable federal, state, and local laws and regulations, including but not limited to laws governing labor practices, data protection, anti-corruption, intellectual property, and export controls.

Failure to comply with applicable law constitutes a material breach of engagement.

2. Ethical Conduct

Vendors shall conduct business with integrity, transparency, and professionalism. Misrepresentation, fraudulent conduct, deceptive practices, or unethical behavior are strictly prohibited.

3. Confidentiality and Data Protection

Vendors may receive access to confidential, proprietary, or operational information. Such information must be protected using appropriate safeguards and may not be disclosed without express authorization.

Confidential obligations survive termination of the vendor relationship.

4. Information Security Obligations

Vendors must implement reasonable administrative, technical, and physical safeguards appropriate to the nature of services provided.

Vendors must promptly notify CarePlanRx of any actual or suspected security incident affecting systems, data, or controlled digital materials.

Immediate notification requirement

Security incidents impacting CarePlanRx systems or data must be reported without undue delay.

5. Intellectual Property Protection

Vendors shall not reproduce, reverse engineer, redistribute, or otherwise misuse CarePlanRx intellectual property beyond the scope of authorized engagement.

All work product created for CarePlanRx shall be governed by the applicable contractual agreement.

6. Conflicts of Interest

Vendors must disclose any actual or potential conflicts of interest that could compromise objectivity, independence, or contractual performance.

7. Anti-Corruption and Anti-Bribery

Vendors shall not engage in bribery, kickbacks, improper inducements, or other corrupt practices in connection with their engagement.

Vendors must comply with applicable anti-corruption laws, including the Foreign Corrupt Practices Act where applicable.

8. Subcontractors

Vendors remain fully responsible for the conduct and compliance of any approved subcontractors. Subcontractors must adhere to standards no less stringent than those set forth in this Code.

9. Audit and Verification

CarePlanRx reserves the right, where contractually permitted, to request reasonable evidence of compliance with this Code.

Failure to cooperate with reasonable compliance verification requests may constitute grounds for corrective action.

10. Enforcement and Termination

Violation of this Vendor Code of Conduct may result in corrective action, suspension, or termination of engagement.

CarePlanRx reserves the right to pursue all remedies available at law or in equity in response to material violations.
