Licensing Terms
These Licensing Terms define how CarePlanRx™ educational resources may be accessed, distributed, and used. CarePlanRx materials are licensed, not sold, and all licenses are limited, non-exclusive, and governed by defined scope, seat assignment, and permitted use conditions.

1. Scope of License
CarePlanRx™ grants a limited, non-exclusive, non-transferable license to access and use CarePlanRx materials within the defined scope of purchase or written agreement.
Licenses may include individual access, seat-based organizational deployment, or defined program access depending on the purchasing structure.
All materials remain the intellectual property of CarePlanRx™ and are licensed solely for authorized use under these terms.
2. Seat-Based Access
Organizational licenses may be provisioned through designated seats assigned to specific individuals within the licensed organization.
Seats may not be shared or transferred between users unless explicitly authorized in writing.
Each seat represents a defined user identity for compliance, auditability, and fair-access enforcement.
3. Permitted Use
Licensed users and organizations may use CarePlanRx materials internally to support patient education, participation, and continuity of care.

- Continuity-of-care navigation
- Participation tracking and follow-through
CarePlanRx resources are educational tools designed to complement clinical care and reinforce instructions already provided by healthcare professionals.
Materials must remain branded and intact. Modification, alteration, or derivative creation is not permitted unless authorized in writing.
4. Prohibited Use
- Reselling or sublicensing CarePlanRx materials
- Public posting of licensed downloads
- Removing branding or copyright notices
- Sharing access credentials outside permitted users
- Using materials as a substitute for licensed clinical decision-making
5. Redistribution Restrictions
Licensed materials may not be uploaded to public repositories, file-sharing services, or open-access platforms unless expressly authorized by CarePlanRx™.
Organizations may distribute materials internally within the scope of their license but may not redistribute content externally.
6. Access Controls and Monitoring
CarePlanRx™ may implement access controls, entitlement tracking, download limits, and logging mechanisms to protect intellectual property and ensure license compliance.

Access controls help maintain content integrity while ensuring fair and compliant use across licensed organizations.
7. Organizational Responsibility
Organizations are responsible for ensuring that employees, contractors, and affiliated users comply with these Licensing Terms.
Misuse by an assigned user may result in corrective action at the organizational level.
8. Suspension and Termination
CarePlanRx™ reserves the right to suspend or terminate access in cases of suspected misuse, license breach, or security risk.
Termination may include revocation of licensed access and removal of entitlement permissions.
9. Fees and Refunds
Unless otherwise stated in a written agreement, digital licenses are issued upon access provisioning.
Refund eligibility is governed by the published Refund Policy.
